The procedure of creating a PLC
The creation of a PLC in Switzerland is done in three steps. Among other things, you have to open a consignment account and pay a capital of CHF 100'000.-.
The advantages of forming a PLC
By opting for the legal form of a PLC (AG/SA), you choose to have better credibility with banks, suppliers and customers.
No personal liability
Liability is limited to the company's capital (fully paid).
Anonymity of the shareholders
The shareholders are not registered in the commercial register.
Free choice of company name
The name of the company can be chosen freely, but the suffix "AG/SA" must be included.
Conditions for the creation of a PLC
One or more natural and/or legal persons are required to create a PLC (AG/SA). As for the LLC (GmbH/Sàrl), the constitution and the functioning of a "one person company" are now possible.
Share capital: CHF 100'000.-
A capital of CHF 100'000.- (the minimum value of a share is CHF 0.01) is required to create a PLC.
One director in Switzerland
At least one director or manager must be resident in Switzerland.
Unique name of the company
The name of the company must be clearly distinguishable from any other company name already registered in Switzerland.
